Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SuitAgents' AI-powered phone answering platform and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Services

SuitAgents provides AI-powered phone answering services designed for service-based businesses. Our Services include:

• 24/7 automated phone answering and call handling
• Lead capture and qualification
• Appointment scheduling and booking
• Call transcription and analytics
• Customer relationship management tools
• Integration with third-party services

Account Registration and Security

Account Creation

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Security

You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account
• Not share your account with others
• Use strong authentication methods when available

Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit spam, unsolicited communications, or illegal content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any systems or data
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services for telemarketing without proper consent
• Harass, abuse, or harm another person or entity
• Collect or harvest personal information without consent
• Use automated systems to access the Services without permission

Subscription Plans and Billing

Subscription Plans

SuitAgents offers various subscription plans with different features and usage limits. Plan details, pricing, and features are available on our website and may be updated from time to time.

Payment Terms

By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Provide accurate and complete billing information
• Authorize automatic recurring charges to your payment method
• Pay any applicable taxes

Billing Cycle

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

Usage Limits

Each plan includes specific usage limits (e.g., number of AI agents, monthly minutes). If you exceed your plan limits, we may charge overage fees or require you to upgrade to a higher-tier plan.

Refund Policy

We offer a 14-day money-back guarantee for paid subscription plans (Starter, Pro, and custom plans). If you request a refund within 14 days of your initial subscription payment, you will receive a refund calculated as follows:

The price per minute is calculated by dividing your plan's monthly fee by the included minutes. For example:

• Starter ($149/mo, 150 minutes): $0.99 per minute
• Pro ($349/mo, 500 minutes): $0.70 per minute

If you have used more minutes than your subscription fee covers at the per-minute rate, no refund will be issued. The 14-day money-back guarantee applies only to your first payment for a new subscription tier. Upgrades, downgrades, and renewal payments are not eligible for refunds under this guarantee.

After the 14-day period, all fees are non-refundable except as required by law. If you cancel your subscription after 14 days, you will retain access to the Services until the end of your current billing period, but no prorated refund will be issued.

Free trial plans are not eligible for refunds as they incur no charges.

Cancellation and Termination

Cancellation by You

You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period, and you will not be charged for subsequent periods.

Termination by Us

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Abuse of the Services or other users
• Any reason at our sole discretion

Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your account data after a reasonable retention period. Provisions that by their nature should survive termination will remain in effect.

Intellectual Property Rights

Our Rights

The Services, including all software, technology, content, trademarks, and other materials, are owned by SuitAgents or our licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Your Content

You retain ownership of any content you provide to the Services, including call recordings, customer data, and business information. By using the Services, you grant us a license to use, process, and store your content solely to provide and improve the Services.

Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without compensation or obligation to you.

AI and Voice Technology

AI Performance

Our AI-powered phone agents are designed to handle calls professionally and accurately. However, AI technology is not perfect, and we do not guarantee that the AI will:

• Understand every caller or situation correctly
• Provide error-free responses
• Capture all information accurately
• Handle all types of calls successfully

Call Recording and Consent

You are responsible for complying with all applicable laws regarding call recording and consent in your jurisdiction. This may include informing callers that calls are being recorded and obtaining their consent where required.

Training and Improvement

We may use anonymized call data and interactions to train and improve our AI models. Personal information will be handled in accordance with our Privacy Policy.

Third-Party Services

The Services may integrate with or link to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of these third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

• The Services will be uninterrupted, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any errors or defects will be corrected
• The Services will meet your specific requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUITAGENTS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Unauthorized access, use, or alteration of your content
• Any other matter relating to the Services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless SuitAgents and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or business practices
• Your failure to comply with applicable laws

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at support@suitagents.com to attempt to resolve the dispute informally.

Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and SuitAgents individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Alabama, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SuitAgents regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or government actions.
